These Terms of Service ("Terms") govern your access to and use of the websites, software, and services provided by Open Black Belt Inc. ("Open Black Belt," "we," "our," or "us"), including Lotus and any related products (collectively, the "Services"). These Terms constitute a binding legal agreement between you and Open Black Belt.
By creating an account, starting a free trial, or using any of our Services, you represent that you are at least 18 years old, have the legal authority to enter into this agreement, and agree to be bound by these Terms. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, do not create an account or use the Services.
Open Black Belt provides software-as-a-service products for the martial arts and fitness industry. Our flagship product, Lotus, is a school management platform that includes member management, class scheduling, attendance tracking, belt testing, billing, CRM tools, and related features.
We reserve the right to modify, add, or discontinue any feature or aspect of the Services at any time. We will provide reasonable advance notice of material changes that negatively affect your use of the Services.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:
Open Black Belt is not liable for any loss resulting from unauthorized use of your account when you have failed to maintain the security of your credentials.
Your Lotus subscription is billed monthly. Billing begins on the day your free trial ends. Subsequent charges occur on the same date each month (or the next business day if that date does not exist in a given month).
Payment is processed securely through Stripe. By providing your payment details, you authorize Open Black Belt to charge the subscription fee to your payment method on a recurring basis. You represent that you are authorized to use the payment method provided.
If you use Lotus to collect payments from your own students via Stripe integration, Stripe's standard transaction fee applies: 2.9% + $0.30 per transaction. This fee is charged by Stripe directly and is separate from your Lotus subscription. Open Black Belt does not add any additional markup on payment processing.
We may change subscription pricing with at least 30 days' advance notice by email. Your continued use of the Services after the price change takes effect constitutes your agreement to pay the new price.
We offer a 30-day money-back guarantee on your first paid month. If you are not satisfied for any reason, contact us at help@openblackbelt.com within 30 days of your first charge and we will issue a full refund. After the initial 30-day refund window, subscription payments are non-refundable except as required by law.
We offer a 30-day free trial of Lotus with full access to all features. No credit card is required to start the trial.
At the end of your trial period, you will need to provide a payment method to continue using the Services. If you choose not to subscribe, your account will be downgraded and access to your data will be limited. Your data is retained for 90 days after trial expiration, after which it may be permanently deleted.
Open Black Belt reserves the right to modify or discontinue the free trial offer at any time without notice, and to limit free trial eligibility to one per person or business.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
Violation of these acceptable use restrictions may result in immediate suspension or termination of your account without refund.
You retain full ownership of all data you enter into the Services, including information about your school, students, and transactions ("Your Data").
You grant Open Black Belt a limited, non-exclusive license to host, store, transmit, and process Your Data solely for the purpose of providing the Services to you. We do not use Your Data for advertising or share it with third parties except as described in our Privacy Policy.
You are responsible for ensuring that Your Data complies with all applicable laws, including those governing the collection and processing of personal information about your students (including minors). You represent that you have obtained all necessary consents and authorizations to enter student data into the Services.
Upon termination of your account, you may export your data prior to deletion. We are not responsible for any loss of data after the retention period described in our Privacy Policy.
The Services, including all software, content, design, trademarks, and other materials, are owned by or licensed to Open Black Belt and are protected by copyright, trademark, and other intellectual property laws.
Your use of the Services does not grant you any ownership rights in the Services. You may not copy, modify, distribute, sell, or sublicense any part of the Services except as expressly permitted by these Terms.
The Open Black Belt name, logo, Lotus name, Fight Card name, and other product names are trademarks of Open Black Belt Inc. You may not use these marks without our prior written consent.
You may cancel your subscription at any time through your account settings or by contacting us at help@openblackbelt.com. Cancellation takes effect at the end of your current billing period. You will retain access to the Services until then, and you will not be charged for subsequent billing periods.
We may suspend or terminate your account and access to the Services immediately, without prior notice, if:
In cases of termination for cause, no refund will be issued. In cases of termination for convenience by Open Black Belt (e.g., we discontinue the Services), we will provide at least 30 days' notice and offer a pro-rated refund for the unused portion of your current billing period.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Open Black Belt does not warrant that the Services will be uninterrupted, error-free, or completely secure. We do not warrant that any information provided through the Services is accurate, complete, or current. You use the Services at your own risk.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPEN BLACK BELT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO OPEN BLACK BELT IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
These Terms are governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration or, where arbitration is not permitted, to the courts of competent jurisdiction.
We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect. We will also update the "Last updated" date at the top of this page.
Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services and cancel your subscription before the effective date.
